Terms of Service

1. Agreement

1. These Terms of Service (the “Terms”) form a binding contract between you and (“Sharpy”, “we”, “us”) and govern your access to and use of the Sharpy website, application and services (together, the “Service”).
2. The contract is formed when you sign in with Google or Apple and we create your account, or when you otherwise use the Service. By doing either, you confirm that you have read these Terms and agree to them.
3. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” means both you and the organization.

2. The Service

Sharpy is an AI video generation platform. You submit text prompts - and, where a model supports them, images or first/last keyframes - and the Service generates short videos using third-party AI models made available through one dashboard, one credit wallet and one download library. The models, their capabilities and their per-video credit prices are listed in the dashboard and on the AI Services page. Every delivered video carries the visible watermark described in section 9.

3. Eligibility and accounts

1. You must be at least 16 years old (or the minimum digital-consent age in your country of residence, if higher) to use the Service.
2. Registration is only through OAuth sign-in with Google or Apple. We do not issue passwords for user accounts and never receive your provider password; you are responsible for keeping your Google or Apple account secure. Activity performed through your session is attributed to you.
3. One person or entity may hold one account unless we agree otherwise in writing. You must provide accurate information where requested and keep it current.
4. New accounts include one free generation on the designated free model, as shown in the dashboard at the time of sign-up. Further generations require credits.

4. Credits and payment

1. Video generation is paid for with credits. 1 credit equals $1.00 of generation value; all amounts are quoted and charged in US dollars.
2. Credits are sold in prepaid, one-time packs. There is no subscription and no automatic renewal. Credits do not expire while your account is active, are not transferable between accounts and, except where required by law or stated in these Terms, are not redeemable for money.
3. The credit cost of a generation is displayed before you submit it and is deducted from your wallet when the generation starts. Your wallet history lists every purchase, spend and refund.
4. Payments are processed by Paddle, our merchant of record. Paddle sells and collects payment for the credit packs on its own behalf, issues your receipt or invoice, and may add buyer-local taxes (such as VAT or sales tax) on top of the prices shown; the totals we display are tax-exclusive. Your purchase appears on your payment method as a Paddle transaction.
5. To protect the platform, the Service limits how many generations may run in parallel per account; submissions beyond that limit are queued or rejected with an explanation, and no credits are deducted for a rejected submission.

5. Coupons

Coupon codes, when offered, adjust the price of a credit pack only - a discount lowers the price you pay, never the number of credits granted. Each code carries the limits stated with it (validity period, total redemptions, uses per customer), has no cash value and cannot be combined with other codes unless we say so. A code that is not applied before you pay cannot be applied afterwards.

6. Failed generations and refunds

1. If a generation fails permanently - for example through a provider error, timeout or a watermarking failure - the credits for that video are returned to your wallet automatically, exactly once. Refunds of this kind are returned as credits, not as cash. Your wallet history shows the refund.
2. Because credit packs are delivered immediately as digital content, purchases are otherwise final and not refundable, except where mandatory consumer-protection law of your country of residence (including any statutory right of withdrawal that has not been lost or waived in accordance with that law) gives you a refund claim. To request a refund, contact [email protected] with your order number; payments handled by Paddle are refunded through Paddle.
3. Credits may be forfeited where an account is terminated for a violation of these Terms (section 13).

7. Acceptable use

1. You may not use the Service to create, upload or share content that: is unlawful or promotes illegal activity; is sexually explicit or depicts minors in a sexual context; depicts real, identifiable people without their consent or creates deceptive likenesses; harasses, defames or threatens; incites hatred or violence; spreads disinformation presented as fact; or infringes anyone's intellectual property or privacy rights. 2. You may not attempt to circumvent the watermark, probe or overload the infrastructure, resell access to the Service without written agreement, or use outputs to train competing generative models where a model provider's terms forbid it.
3. Uploads must be JPEG, PNG or WebP images within the size limit shown in the dashboard. You are responsible for everything submitted through your account.
4. Violation of this section may result in removal of content, suspension or termination of your account, forfeiture of remaining credits and, where required, reporting to authorities.

8. Your content: inputs and outputs

1. You keep all rights to the prompts, images and keyframes you upload (“Inputs”), and, as between you and us, to the videos the Service generates from them (“Outputs”), subject to sections 9 and 10 and to the terms of the underlying model provider.
2. You grant us a limited, non-exclusive licence to process Inputs and Outputs only as technically necessary to provide the Service: to generate your videos, display them to you, and keep the backups and logs needed to operate reliably - nothing broader.
3. You warrant that you hold all rights, licences and consents needed for everything you upload, including any trademark and the likeness of any person depicted.
4. AI-generated content may not qualify for copyright protection in some jurisdictions, and similar prompts from different users can produce similar results; we do not guarantee exclusivity of an Output. Details are in the Copyright & Licensing policy.

9. Watermarking and synthetic-media disclosure

Every delivered video carries a visible Sharpy watermark that identifies it as AI-generated. The watermark cannot be removed, disabled or obscured, and you agree not to distribute de-watermarked derivatives. When you publish or share an Output, you remain responsible for presenting it as AI-generated where applicable law or platform rules require that disclosure.

10. Availability and support

1. We work to keep the Service available and responsive, but generation depends on third-party model providers and their capacity. We do not promise uninterrupted or error-free service; failed generations are refunded as described in section 6.
2. Support is provided by email at [email protected] and through the contact form. We reply to the email address you provide.

11. Disclaimer of warranties

The Service is provided “as is” and “as available”. To the extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. AI output is probabilistic: we do not warrant that a generation will match your expectations or that any Output will be free of artifacts. Nothing in this section limits rights you have under mandatory consumer-protection law.

12. Limitation of liability

1. To the extent permitted by law, our total liability arising from or connected with the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim.
2. Neither party is liable for indirect, incidental or consequential damages, or for lost profits, revenue, goodwill or data, except where the law does not allow that exclusion.
3. These limits do not apply to liability that cannot lawfully be limited or excluded - for example, death or personal injury caused by negligence, fraud or willful misconduct, or mandatory statutory liability.

13. Suspension and termination

1. We may suspend or terminate your account where you violate these Terms or applicable law, or where your use puts the Service, our providers or other users at risk. Where practicable and lawful, we will tell you why and how to appeal.
2. You may close your account at any time by contacting [email protected]. The Privacy Policy explains what deletion removes and what we must retain.
3. On termination, your right to use the Service ends immediately. Sections that by their nature should survive (content rights, disclaimers, liability, governing law) survive termination.

14. Changes to the Service and these Terms

1. Models, features and prices may change as the Service evolves. Price changes do not affect credits you already hold.
2. We may update these Terms; the “Last updated” date above reflects the current version. Material changes will be announced in the Service or by email. Continued use after an update takes effect means you accept the revised Terms.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Serbia, without regard to conflict-of-law rules. the courts in Belgrade, Serbia have exclusive jurisdiction over any dispute, except where mandatory consumer-protection law gives you the right to bring or defend claims in your local courts; nothing in these Terms deprives consumers of that protection.

16. General provisions

1. If a provision of these Terms is held unenforceable, it is enforced to the maximum extent permissible and the remaining provisions stay in force.
2. These Terms, together with the Privacy Policy, the Copyright & Licensing policy and the AI Ethics & Safety policy, are the entire agreement between you and us about the Service.
3. We may assign these Terms to an affiliate or a successor of the business; you may not assign them without our written consent.
